| Retailer Terms and Conditions |

| 1. ORDERS: CDs ship in cases of 20 and are available in volume discounts. Please reference the pricing tiers below. |
| 2. PAYMENT TERMS:For international retailers, your first 3 orders must be paid at the time of order placement (Credit Card, PayPal or C.O.D) in order to establish a relationship. After that, you may request a net-30 account status. To that end, the retailer must make all subsequent payments within 30 days of receiving the shipment ordered or shall be subject to a 2% monthly interest fee running from due date forward. In addition late payments may revert payment terms to C.O.D. and/or pre-payment. Extended payment terms may be established at the discretion and approval of SoundScience. |
| 3. FREIGHT: The buyer pays for shipping. Orders can be shipped either by airmail (3-5 days), or by boat (30-45 days). For shipping rates, please email us at wholesale@soundscience.us. We will ship via USPS International Priority Mail by default. If you desire a different shipping method, state your alternative shipping preference via phone/fax or email. |
| 4. RETURNS: DEFECTIVE CDs - CDs that are in any way defective may be returned at any time for immediate exchange or refund |
| RETURNS FOR ANY OTHER REASON: Merchandise purchased from SoundScience may be returned for credit within 90 days subject to the following conditions: 1. Before a return is made, a list of the returned product must be submitted to SoundScience. Proof of purchase may be required. 2. SoundScience will review the list and issue an RA # which must be marked on the outside of the package and a list of the box contents must be included. 3. Stock must have shrink wrap intact with no price stickers or residue, otherwise 10% restocking fee will be charged. |
| 5. ONLINE AUCTION SITES: Retailer agrees NOT to attempt to resell our CDs online via eBay or any other auction-based websites. |
| 6. PATENT AND COPYRIGHT INFRINGEMENT: Retailer must never use any other image, name, logo mark or photo of, nor any descriptive or explanatory text relating to, nor any reference to, another company, product or brand name in reference or relation to SoundScience products without written consent. In addition, retailer agrees not to develop, engineer, design, nor commission or collaborate with any individual or agency to develop, design, create or recreate any product that could directly compete with proprietary SoundScience products. |
| 7. USE OF PROMOTIONAL MATERIALS: SoundScience has provided a download area on the website for various promotional materials and images. In addition to these, we will be happy to furnish you with any additional images or promotional materials, award logos, product reviews, and any other information on our products. Retailer may use specific photo and/or graphic images and/or specific text provided by SoundScience or any info from our website for the promotion of or in conjunction with SoundScience products only, and then only for the duration that SoundScience products are being actively offered for resale by retailer. Unless written permission is granted, Retailer may not use the aforementioned intellectual property of SoundScience for any retail websites that are not the direct representation of your retail company. |
| 8. PROPER USE OF TRADEMARK: Any marketing/promotional materials produced by retailer containing SoundScience products must accurately represent the products with proper name and trademark. They must include both the company name (“SoundScience”) and product name (i.e., “SoundSleep™”, or “SoundSmart™”, etc). |
| 9. REPACKAGING: Retailer must never repackage, reproduce or reformulate any SoundScience product without the expressed written consent of SoundScience. |
